1. Acceptance of Contract Terms

By entering, registering, initializing, or purchasing digital or physical computing hardware assets from NodeWave, you explicitly bind your operational entity to these unified Terms of Service. If you do not accept these systemic governance rules, do not deploy our platforms, software modules, or edge gateway environments.

We reserve full structural authority to modify or update these terms at our discretion to align with technical modifications or legislative compliance transitions. Your continued system integration use confirms your binding consensus to those active changes.

2. Platform Usage & Software Licensing

NodeWave grants you a non-exclusive, non-transferable, revocable technical license to access custom dashboards, telemetry code engines, and web architectures strictly specified within your signed corporate Service Level Agreement (SLA). All intellectual property properties remain locked to our core engineering base.

You are explicitly restricted from reverse-engineering compiled firmware binaries, cracking API communication pipelines, attempting script injections into backend servers, or re-selling custom technical dashboard interfaces to unauthorized external third-party endpoints.

3. Hardware Purchases & Deployment Liabilities

Physical components, development kits, and edge modules sold through our commercial store are dispatched under standard manufacturing tolerances. Risk of equipment degradation or asset tracking loss passes to the buyer instantly upon delivery completion via our logistics network tracking paths.

NodeWave does not assume direct operational liability for equipment failure caused by improper environmental field setups, hardware input manipulation, poor electrical balancing configurations, or un-shielded cellular network disconnects outside our core cloud servers control.

4. Service Suspension & System Limitations

We maintain absolute operational guardrails to suspend or terminate active API endpoint access keys or dashboard profiles without prior warning if anomalous system load metrics, unauthorized database queries, or billing default cycles are detected.

NodeWave provides all operational platforms and custom code blocks on an "as-is" and "as-available" metric baseline. We explicitly disclaim liabilities regarding indirect financial overheads, operational data stutters, or server-side down-time events outside our control limits.

Governing Law & Jurisdiction

These unified terms, contracts, and system configurations are executed under and governed by the laws of the **Republic of Kenya**. Any emerging litigation, structural contract breaches, or platform exceptions fall strictly within the exclusive jurisdiction of the competent courts of law located in **Nairobi, Kenya**.
